Terms of Use

The Autochic website is owned and operated by Autochic Pty Limited (ACN 124 078 879) (Autochic).

Please read the following Terms of Use carefully before using the website operated by Autochic in Australia (the Autochic Site). By visiting the Autochic Site or participating in any of the interactive activities on such site, you agree to be bound by these Terms of Use. Please note that we may, in our sole discretion, modify these Terms of Use without notice to you. You are responsible for regularly reviewing these Terms of Use when using the Autochic Site. By continuing to access and use the Autochic Site after the Terms of Use have been modified, you are agreeing to such modifications

    1. Registration and Passwords

      1. Registration is not required to browse the Autochic Site.

      2. However, certain features offered on the Autochic Site may require you to register or submit certain personal information, such as your name, mailing and e-mail addresses, and billing information.

      3. When you register with a Autochic Site you represent that you are at least 18 years of age and have the authority to register with such site.

      4. When you register we may assign you a username and request that you choose a password.

      5. You are responsible for maintaining the confidentiality of your username and password.

      6. You shall be responsible for all uses of your username and password.

      7. In addition, you agree to pay all charges, including taxes, duties or other fees, incurred

        by you or any users of your account.

    2. Your Submissions and User Conduct

      1. The Autochic Site may invite users to communicate with one another via chat areas and bulletin boards.

      2. All communications made to the Autochic Site (collectively the Submissions), including, but not limited to, any notes, reviews, bulletin board postings, ideas, comments, suggestions, concepts, artwork, photographs and sound and video files become the subject of a non exclusive licence for us to use in any media in any way we choose including for promotional purposes throughout the world without any time or other restrictions.

      3. Without limitation we shall be entitled to edit such Submissions as we see fit, and shall have no obligation to use material submitted.

      4. You are solely and fully responsible for the content of any of your Submissions to the Autochic Site.

      5. Your Submissions must strictly conform to the following guidelines:

        1. your Submissions to the Autochic Sites must originate with you and be accurate and current;

        2. your Submissions may not infringe any third-party rights, including, but not limited to, copyright, trademark, publicity, or privacy rights;

        3. when you make a Submission, you acknowledge that you have all necessary rights, including copyright in the material contained in your Submission;

        4. your Submissions must not be fraudulent, libellous, defamatory, obscene, pornographic, harassing, abusive, threatening, racially offensive, offensively directed towards people based on their gender, sexual orientation or otherwise discriminatory or be otherwise objectionable;

        5. if there is any question as to what constitutes objectionable material under these Terms of Use, Autochic is the final arbiter of what does or does not constitute objectionable material;

        6. your Submissions must not be harmful to minors in any way;

        7. your Submissions must not be intended to advertise or solicit funds;

        8. your Submissions must not use the Autochic Sites to advocate or offer instructions as to illegal activities or to violate any applicable laws;

        9. your Submissions must not be in violation of the guidelines set forth in these Terms of Use;

        10. any such actions shall be a material breach of these Terms of Use;

        11. the Autochic Site will remove any Submissions that violate any provision of these Terms of Use and will cooperate fully with any law enforcement officials and/or agencies in the investigation of any violator or violators;

        12. in addition, we may terminate the right to access the Autochic Site by any user who violates these Terms of Use immediately and without prior notice; and

        13. you further agree that you will not circumvent our security features, corrupt any content or files on or obtained from the Autochic Site, interfere with or in anyway disrupt our service or servers, or networks connected to our service or servers, or otherwise violate any applicable law regulations or these Terms of Use.

    3. Downloading Material from the Autochic Site

      1. You are permitted to download only those materials specifically made available by us to download for your personal use.

      2. Any material made available for downloading by the Autochic Site may not be used for commercial or any other purpose other than your personal use and may not be copied or duplicated in any way without first obtaining our permission.

      3. You must not remove any notices or credits on the downloaded materials or delete, add, or otherwise modify the content of any such downloaded materials.

    4. Ownership of Materials on the Autochic Site

      1. The Autochic Site and all the materials published or otherwise incorporated on the site (Content), such as text, button icons, interfaces, images, software, illustrations, video clips, audioclips, and other video and audio files are owned exclusively by Autochic or others that have licensed their materials to us.

      2. The Content is therefore protected by copyrights, trade secrets, or other proprietary rights.

      3. You may not copy, download, upload, modify, reproduce, transmit, delete, add to, distribute in any way, or otherwise use for any purpose any of the Content except as we have outlined in these Terms of Use or on the Autochic Site, or with the prior written consent of the owners of the Content.

      4. In addition, any of the trade names, trade marks, service marks and logos (collectively referred to as Trade Marks) that appear on the Autochic Site are owned by Autochic or others that have licensed their use to us.

      5. Other Trade Marks will occasionally be added to the Autochic Site. These Trademarks may not be used in any manner without the prior written consent of their respective owners.

    5. Partner Sites/Linked Sites

      1. The Autochic Site contains hyperlinks and other pointers to Internet websites operated by third parties.

      2. These linked websites are not under the control of Autochic and Autochic is not responsible for the contents of any linked website or any hyperlink contained in a linked website.

      3. Autochic provides these hyperlinks to you as a convenience only, and the inclusion of any link does not imply any endorsement of the linked website by Autochic or its affiliates.

      4. You link to any such website entirely at your own risk.

      5. The Autochic Site also contains third party advertisements (including banner ads and full page advertisements) which contain embedded hyperlinks or which include referral buttons to websites operated by third parties or their licensees or contractors.

      6. All third party advertising (including referral buttons and embedded hyperlinks) is paid for by the relevant third party advertisers and are not recommendations or endorsements by Autochic or its affiliates or their respective directors or employees.

      7. You are referred to the relevant advertiser for all information regarding the advertiser and its products and/or services.

      8. In some instances, the advertisement will contain representations or offers by the third party advertiser which you can accept by linking to the advertiser's website and executing the relevant transaction.

      9. Such offers are not made by Autochic, and the third party advertiser is solely responsible to you for the delivery of any goods or services you purchase on the third party website.

      10. We do not review, endorse, or control any content, advertising, products, services, or other materials on or available through those sites, nor are we responsible for any viruses, trojan horses, or other items of a destructive nature that they may contain.

      11. Your correspondence or business dealings with advertisers, partners, or other third parties found through the Autochic Site, including payment and delivery of related goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and such third parties.

      12. You agree that Autochic will not be responsible or liable for any loss or damage of any sort arising out of any such dealings or as a result of the presence of such third parties or link to their sites on the Autochic Site.

    6. Disclaimer

      1. The Trade Practices Act 1974 and similar state and territory legislation in Australia may confer rights and remedies on you in relation to the provision by Autochic of goods or services on the Autochic Site which cannot be excluded, restricted or modified (Non-excludable Rights).

      2. Autochic does not exclude any Non-excludable Rights but does exclude all other conditions and warranties implied by custom, law or statute.

      3. Except as provided for by the Non-excludable Rights:

        1. all Content is provided "as is" and without warranties of any kind, either express or implied;

        2. Autochic and its suppliers expressly disclaim all warranties of any kind, including but not limited to implied warranties of merchantability and fitness for a particular purpose;

        3. Autochic does not warrant that the functions contained in any Content or any Communications Facility or your access to the Autochic Site will be uninterrupted or error-free, that any defects will be corrected or that the Autochic Site or the server which stores and transmits Content to you are free of viruses or any other harmful components;

        4. Autochic does not warrant or make any representation regarding your access to, or the results of your access to, the Autochic Site (including any related or linked websites) or any Content in terms of correctness, accuracy, timeliness, completeness, reliability or otherwise; and

        5. you (and not Autochic) assume the entire cost of any necessary verification, maintenance, repair and/or correction of any relevant Content.

      4. We are not responsible for your use of any content found on or through the Autochic Site, including, without limitation, advertising and links.

      5. We do not warrant that the Autochic Site will be provided on an uninterrupted basis or that your access will be error free or that the Autochic Site does not contain viruses or defects which may damage your computer or network.

      6. You are strongly advised to take your own precautions concerning virus checking and the security of your computer in accessing the Autochic sites.

      7. By using the Autochic Site you expressly agree that such use is at your sole risk.

      8. We do not warrant that functions at the Autochic Site will meet any requirements or needs you may have, or will be compatible with any particular platform or that any error or defects will be corrected by us.

      9. Some jurisdictions do not permit the exclusion of implied warranties, so this exclusion may not apply to you in full.

      10. We reserve the right to monitor Submissions by those who use the Autochic Site, but we are not obliged to do so.

      11. We disclaim any responsibility for the Content submitted by users on or through any area of the Autochic Site including, without limitation, chat areas, forums, bulletin boards, and e-mail.

      12. We cannot and do not seek to limit the opinions and views of our users and such opinions and views, therefore, should not be taken to represent those of the Autochic Site.

      13. We do not represent that the Content and features on or offered through the Autochic Site are appropriate or available for use in all countries.

      14. We reserve the right to terminate this agreement and/or refuse service to you at any time without notice for any reason.

    7. Limitation of liability

      1. Under no circumstances (including but not limited to any act or omission on the part of Autochic) will Autochic or its affiliates be liable for any indirect, incidental, special and/or consequential damages or loss of profits whatsoever which result from any use or access of, or any inability to use or access, the Autochic Site or any Content.

      2. You expressly acknowledge and agree that Autochic does not exert control over users of the Autochic Site (including individuals referred to on the Autochic Site as guests and experts) and is not liable either for their opinions or their behaviour, including any information and/or advice and any defamatory statements or offensive conduct.

      3. To the fullest extent permitted by law, Autochic’s liability for breach of any implied warranty or condition which cannot be excluded is limited at the option of Autochic to the following:

        1. in the case of services supplied or offered by Autochic,

          1. the supply of the services again; or

          2. the payment of the cost of having services supplied again; and

        2. in the case of goods supplied or offered by Autochic,

          1. the replacement of the goods or the supply of equivalent goods;

          2. the repair of such goods;

          3. the payment of the cost of replacing the goods or acquiring equivalent goods; or

          4. the payment of the cost of having the goods repaired.

    8. Indemnification

You agree to indemify, defend, and hold harmless Autochic, its officers, directors, employees, agents, licensors and suppliers from and against all expenses, damages and costs, including reasonable legal fees, resulting from any violation of these terms and conditions or any activity related to your membership (including negligent or wrongful conduct), by you or any other person accessing the Autochic Site using your username and password.

    1. Infringement and Regulatory Complaints

      1. We are committed to respecting the intellectual property rights of others.

      2. We will cooperate with any law enforcement authorities and comply with any judicial order requesting or directing us to disclose the identity of anyone downloading or posting materials, or otherwise using this website in violation of applicable federal, state, or local laws.

      3. If you believe that your proprietary rights, including copyrights, have been violated by any Content posted by our users, please contact Autochic by providing notice of the claimed infringement as more fully explained below.

      4. Once notice has been received we will promptly respond to remove, or disable access to, the material that is claimed to be infringing or to be the subject of any infringing activity.

      5. When providing notice of claimed infringement to Autochic, please do so in writing and include the following information:

        1. full name and contact details of the person authorised to act on behalf of the copyright owner whose work you claim has been infringed;

        2. a description of the work you claim has been infringed;

        3. a description of the work you claim to be infringing as well as information reasonably sufficient to permit us to locate the material;

        4. your address, telephone number, and, if available, your e-mail address;

        5. a statement of your good faith belief that use of the material in the manner complained of is not authorised by the copyright owner, it's agent or the law.

Privacy

Any personal or other information submitted by you and other Submissions to the Autochic Site are subject to our Privacy Policy.

Termination

      1. The Terms of Use are effective until terminated by Autochic, and Autochic may terminate this agreement and your access to the Autochic Site at any time without notice.

      2. In the event of termination, you are no longer authorised to access the Autochic Site, but all restrictions imposed on you, licenses granted by you and all Autochic disclaimers and limitations of liability set out in the Terms of Use will survive.

    1. Applicable laws

      1. This agreement will be governed by and construed in accordance with the laws of New South Wales, Australia.

      2. You irrevocably and unconditionally submit to the non-exclusive jurisdiction of the courts of New South Wales.

      3. You are solely responsible for compliance with all applicable laws of the jurisdiction from which you are accessing the Autochic Site.

      4. If any part or portions of these Terms of Use shall be declared invalid, void or unenforceable, the remaining Terms of Use shall remain in full force and effect and shall be interpreted as closely as possible to the manner in which they were written.

      5. If any dispute arises between you and us regarding these Terms of Use, the dispute will be governed by the laws in force in New South Wales, Australia.

      6. These Terms of Use set forth the entire agreement regarding all of the matters contained herein and should supersede all prior agreements, negotiations, and understandings.

      7. Any cause of action or claim you may have with respect to the AutoChic Site must be commenced within one (1) year after the claim or cause of action arises.

      8. Autochic’s failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right.

      9. Autochic may assign its rights and duties under this agreement to a third party at any time without notice to you.

    2. Miscellaneous

      1. relies on your continued observance of these Terms of Use.

      2. The terms of this agreement apply to the full extent possible in relation to the supply by Autochic of any content or services.

      3. Autochic makes no representation that materials in the Autochic Site are appropriate or available for use in other locations outside of Australia.

      4. All rights not expressly granted herein are reserved.
